These Terms of Use apply to RoleLantern, including our website, mobile site, software, tools, job board, dashboards, alerts, communications, and related services, collectively, the “Platform.” The Platform is operated by RoleLantern LLC, referred to in these Terms as “RoleLantern,” “we,” “us,” or “our.”
1. Acceptance of Terms
By accessing or using the Platform, creating an account, posting a job, applying for a job, uploading a resume, receiving job alerts, purchasing services, or otherwise using any Platform feature, you agree to these Terms, our Privacy Notice, our Job Posting Rules, and any other policy or supplement referenced in these Terms. If you do not agree, do not use the Platform.
If you use the Platform on behalf of a company, recruiter, staffing firm, search firm, agency, institution, sponsor, CRO, clinical site, university, or other organization, you represent that you have authority to bind that organization. In that case, “you” means both you and the organization you represent.
2. What the Platform Does and Does Not Do
RoleLantern provides an online marketplace where employers, recruiters, staffing firms, search firms, and other authorized posting entities may post job openings, and where job seekers may search, view, apply, communicate, and share professional information.
Unless we enter into a separate written agreement that says otherwise, RoleLantern is not:
An employer of any job seeker or worker;
A recruiter of record, staffing agency, employment agency, professional employer organization, or employer of record;
A party to any employment, contractor, consulting, internship, fellowship, or volunteer relationship;
A background screening company, credentialing body, immigration advisor, payroll provider, benefits administrator, or tax advisor;
A guarantor of any job, employer, candidate, interview, offer, compensation, credential, license, visa, start date, or employment outcome.
Any hiring, rejection, interview, offer, onboarding, credentialing, salary, work authorization, background check, licensure, workplace, or employment decision is made solely by the applicable employer or posting entity.
3. User Eligibility and Accounts
You must be able to form a binding contract to use the Platform. You must provide accurate, current, and complete information and keep it updated. You are responsible for your account credentials and for all activity under your account.
You may not create accounts using false identities, automated means, shared credentials, unauthorized third-party data, or credentials belonging to another person or organization. We may refuse, suspend, limit, or terminate accounts at any time if we believe an account creates risk, violates these Terms, violates law, or is being misused.
4. Job Seeker Responsibilities
If you are a job seeker, candidate, applicant, consultant, contractor, or other individual user, you are responsible for:
The accuracy, completeness, and legality of your resume, profile, application, messages, credentials, licenses, work history, education, references, salary information, work authorization information, and other materials you provide;
Deciding whether to apply for, interview for, accept, or reject any role;
Independently verifying the identity, legitimacy, compensation, duties, location, work arrangement, work authorization requirements, visa sponsorship, safety, and terms of any job or employer;
Using caution before sharing sensitive personal information, financial information, government identifiers, immigration documents, health information, or banking information with any employer or third party;
Complying with any confidentiality obligations you owe to current or former employers, clients, schools, research institutions, sponsors, CROs, clinical sites, or other third parties.
You understand that applying for a job, making a resume visible, joining a resume database, responding to a message, or using an external application link may cause your information to be shared with the employer, recruiter, staffing firm, applicant tracking system, or other third party connected with that job. Once your information is shared with a third party, that third party’s own privacy practices may apply.
5. Employer and Posting Entity Responsibilities
If you post jobs, promote jobs, review applicants, search resumes, contact candidates, use applicant data, or otherwise use the Platform for hiring or recruiting, you are solely responsible for:
All job posts, job descriptions, titles, compensation information, benefits descriptions, workplace information, employer identity, landing pages, application workflows, screening questions, interview criteria, candidate communications, offer terms, hiring decisions, rejection decisions, and onboarding steps;
Ensuring each job post is truthful, current, complete, non-deceptive, legally compliant, and tied to a bona fide employment, consulting, contractor, internship, fellowship, or similar role with a legitimate intent to hire;
Complying with all applicable federal, state, local, and international laws, including laws governing equal employment opportunity, non-discrimination, disability accommodation, pay transparency, wage and hour, immigration, work authorization, taxes, benefits, background checks, credit checks, candidate privacy, data security, AI hiring tools, employment agency rules, healthcare licensure, and professional credentials;
Using applicant data only for legitimate hiring purposes related to the specific role or as otherwise permitted by the applicant and applicable law;
Maintaining a lawful privacy notice, applicant data retention process, and data protection program for applicant information you receive;
Responding to candidates, accommodation requests, privacy requests, legal requests, and regulatory inquiries that relate to your hiring process;
Ensuring that any recruiter, agency, employee, contractor, vendor, applicant tracking system, or representative acting on your behalf complies with these Terms.
We may reject, edit, label, downgrade, de-index, suspend, remove, or require correction of any job post at any time, with or without notice, if we believe the post may be inaccurate, outdated, unlawful, discriminatory, deceptive, unsafe, fraudulent, duplicative, low quality, incomplete, inconsistent with our standards, or otherwise harmful to users or the Platform.
6. Job Posting Rules
All job posts must comply with the Job Posting Rules in Document 2 of this package, as updated from time to time. The Job Posting Rules are part of these Terms. Without limiting those rules, every job post must include accurate and complete information about the employer or posting entity, role title, duties, minimum qualifications, location, work arrangement, employment type, compensation and benefits where required by law or our Platform settings, application process, and any material conditions of employment.
You may not post jobs that are fake, expired, misleading, discriminatory, unlawful, designed mainly to collect resumes, designed mainly to sell services, designed to collect fees from applicants, or designed to route applicants into unrelated marketing, training, investment, franchising, lead generation, or business opportunity programs.
7. Pay Transparency and Location-Based Compliance
Because pay transparency laws vary by state, city, country, employer size, work location, remote-work eligibility, reporting line, and role type, posting entities are solely responsible for determining and providing any required wage, salary, pay scale, bonus, commission, benefits, and other compensation disclosures.
We may require compensation and benefits fields for some or all postings. If a job may be performed in multiple states, remotely, hybrid, or outside the United States, the posting entity must provide enough information for applicants and regulators to understand where the role may be performed and what compensation disclosure applies. If compensation information is omitted, incomplete, facially unreasonable, deceptive, or non-compliant, we may remove, restrict, or require correction of the posting.
Use of the Platform does not shift pay transparency, wage, benefits, or employment advertising compliance obligations from the employer or posting entity to RoleLantern.
8. Equal Employment Opportunity and Anti-Discrimination
You may not use the Platform to discriminate, harass, exclude, discourage, solicit, advertise, screen, rank, message, reject, or hire in a manner that violates applicable law. Job posts may not state or imply unlawful preferences, exclusions, or limitations based on protected characteristics, including race, color, religion, sex, pregnancy, sexual orientation, gender identity, national origin, age, disability, genetic information, military or veteran status, citizenship status where protected, marital status where protected, arrest or conviction record where protected, or any other legally protected status.
Employers and posting entities are responsible for ensuring that any qualification, credential, physical requirement, travel requirement, onsite requirement, language requirement, relocation requirement, visa or work authorization requirement, background check standard, or screening question is lawful, job-related, and properly disclosed.
9. Life Sciences and Healthcare Specific Requirements
Life sciences, biotech, pharma, medical device, diagnostics, clinical research, CRO, site, hospital, laboratory, academic, and healthcare-related postings may involve additional legal and regulatory obligations. Posting entities are solely responsible for compliance with all applicable requirements, including:
Professional licensure, board certification, clinical credentialing, scope-of-practice, clinical trial, GCP, GLP, GMP, pharmacovigilance, quality, regulatory, and safety requirements;
Patient privacy, HIPAA, clinical trial confidentiality, protected health information, sponsor confidentiality, informed consent, site confidentiality, and data protection rules;
Healthcare fraud and abuse, anti-kickback, Sunshine Act, conflict-of-interest, publication, research misconduct, controlled substance, and applicable institutional rules;
State, federal, and international rules for remote work, telehealth, clinical operations, monitoring, travel, field roles, medical affairs, sales, and consultant engagements.
RoleLantern does not verify clinical credentials, professional licenses, disciplinary history, employment eligibility, conflicts of interest, sponsor approvals, clinical trial access, or site authorization unless we expressly state otherwise in a separate written service description.
10. User Content and License
“User Content” means any job post, resume, profile, application, message, document, logo, image, description, response, comment, salary information, employer information, candidate information, feedback, or other material submitted, uploaded, posted, displayed, sent, or made available through the Platform.
You retain ownership of your User Content. You grant RoleLantern a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, format, index, distribute, transmit, modify for formatting or technical purposes, analyze, create metadata from, and otherwise use your User Content to operate, secure, improve, promote, and provide the Platform and related services. This license includes the right to distribute job posts to search engines, aggregators, partner sites, alerts, feeds, and third-party platforms when enabled by us or by the posting entity.
You represent and warrant that you have all rights, permissions, consents, licenses, and authority needed to provide your User Content and to grant this license. You are solely responsible for your User Content and for any consequences of submitting it.
11. Moderation, Removal, and Platform Integrity
We may, but are not required to, review, verify, monitor, edit, label, refuse, remove, limit distribution of, or disable access to any User Content, account, job post, employer page, resume, message, search result, or feature if we believe it may violate these Terms, our policies, applicable law, third-party rights, data integrity standards, user safety, platform security, or our business interests.
Our decision to moderate, label, verify, remove, or not remove content does not make us responsible for that content and does not create any duty to monitor, investigate, screen, verify, edit, or remove similar content in the future.
12. Data Integrity, Search Results, Ranking, and Matching
The Platform may display search results, rankings, recommendations, alerts, “matches,” labels, badges, filters, quality indicators, verification indicators, estimated commute or location information, sponsored placements, or other informational features. These features may be based on job content, resume content, user settings, account information, location, search activity, application activity, recency, employer activity, paid promotion, relevance, availability, technical factors, or other data.
Search results, rankings, recommendations, alerts, and matches are informational only. They are not guarantees of job availability, employer interest, applicant qualification, interview likelihood, legal compliance, compensation, fit, safety, or hiring outcome. Users must make their own independent decisions.
We do not guarantee that Platform data is complete, current, accurate, error-free, non-duplicative, properly categorized, legally compliant, or free from outdated, mislabeled, manipulated, fraudulent, or harmful content. We may correct, suppress, remove, deduplicate, label, reformat, or update data at any time.
13. AI, Automation, and Automated Tools
The Platform may use automated tools, machine learning, artificial intelligence, rules-based systems, or other technologies to support search, job recommendations, spam detection, fraud prevention, ranking, matching, content review, parsing, data extraction, user support, and platform security.
Unless expressly stated in a separate written agreement, our automated tools are not intended to make final employment decisions, determine eligibility for employment, replace human judgment, conduct legally required bias audits for employers, or certify compliance with any employment, privacy, AI, or civil rights law.
Employers and posting entities that use any automated employment decision tool, AI screening tool, video analysis, scoring system, ranking tool, assessment, chatbot, or third-party hiring technology are solely responsible for notices, consents, accommodations, human review, validation, bias audits, recordkeeping, transparency, and legal compliance required by applicable law.
14. Communications, Job Alerts, Email, Texts, and Messaging
By using the Platform, you may receive transactional, service, account, security, application, job alert, employer, candidate, billing, policy, or administrative communications. You may also choose to receive promotional communications where permitted by law.
You are responsible for keeping contact information accurate. We do not guarantee delivery, receipt, timing, display, storage, or action on emails, texts, messages, alerts, phone calls, notifications, calendar invites, attachments, or other communications. Messages may be delayed, filtered, blocked, misdirected, unavailable, or affected by third-party systems.
If we offer text messaging, you consent only through the specific opt-in process presented to you. Message and data rates may apply. You may opt out as instructed in the message or account settings. Employers and other users may not use Platform messaging to spam, harass, scrape, sell, market unrelated services, or contact applicants for purposes unrelated to the specific job or hiring process.
15. Resume Database and Candidate Search
If the Platform offers a resume database, searchable profiles, candidate matching, or employer candidate search, job seekers may be given settings that control profile visibility. Employers may use candidate data only for legitimate recruiting and hiring purposes and only in compliance with applicable law, these Terms, and the Privacy Notice.
Employers may not sell, license, transfer, scrape, copy, download in bulk, enrich, repurpose, pool, disclose, or use candidate information for advertising, lead generation, training unrelated AI models, background investigations without required authorization, credit decisions, insurance decisions, harassment, competitive intelligence, or any non-hiring purpose.
16. Third-Party Sites, Applicant Tracking Systems, and External Links
The Platform may link to employer websites, applicant tracking systems, third-party application pages, job aggregators, social networks, analytics services, payment processors, identity services, or other third-party services. We do not control and are not responsible for third-party content, systems, policies, availability, security, errors, acts, omissions, or data practices.
If you leave the Platform or submit information to a third party, that third party’s terms and privacy notices may apply. You use third-party services at your own risk.
17. Prohibited Conduct
You may not:
Use the Platform for unlawful, discriminatory, fraudulent, deceptive, harmful, harassing, exploitative, defamatory, infringing, unsafe, or abusive conduct;
Post fake jobs, expired jobs, misleading jobs, duplicate jobs, resume-harvesting posts, phishing posts, bait-and-switch posts, unpaid roles falsely presented as paid, or roles requiring applicants to pay to apply or be hired;
Misrepresent your identity, employer, agency relationship, authority, job ownership, hiring intent, compensation, location, work arrangement, sponsorship, benefits, or role requirements;
Scrape, crawl, mine, harvest, copy, download in bulk, reverse engineer, bypass access controls, overload systems, or use unauthorized bots, scripts, spiders, or automated tools;
Upload malicious code, interfere with security, probe vulnerabilities, or attempt unauthorized access;
Use candidate or employer data for spam, marketing unrelated services, identity theft, surveillance, discrimination, harassment, or sale to third parties;
Post content that infringes intellectual property, privacy, publicity, confidentiality, trade secret, contractual, or other rights;
Use the Platform to train, improve, validate, benchmark, or build competing products, AI systems, databases, or models without our written consent;
Circumvent fees, limits, subscription terms, security tools, moderation tools, or Platform workflows;
Represent that RoleLantern endorses, verifies, sponsors, guarantees, or is responsible for any job, candidate, employer, recruiter, credential, application, or offer unless we expressly say so in writing.
18. Payments, Subscriptions, Sponsored Jobs, and Refunds
If paid products are offered, fees, billing terms, posting duration, sponsored placement rules, renewal rules, cancellation rules, refund rules, and taxes will be presented at purchase or in an order form. You authorize us and our payment processors to charge all applicable fees and taxes to your payment method.
Unless a separate written agreement says otherwise, paid postings, subscriptions, sponsored placements, promotions, resume access, or other paid features do not guarantee views, applications, candidate quality, interviews, hires, job availability, ranking, placement, or results. We may label or rank paid content separately from organic content.
All refund and cancellation rights are subject to the applicable order form and mandatory law. We may suspend paid services for non-payment, suspected fraud, policy violations, chargebacks, or risk to users or the Platform.
19. Intellectual Property
The Platform, software, design, trademarks, service marks, logos, features, workflows, databases, taxonomies, compilations, models, documentation, and content supplied by RoleLantern are owned by RoleLantern or its licensors and are protected by intellectual property and other laws. These Terms do not transfer any ownership rights to you.
You may use the Platform only as allowed by these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, create derivative works from, or commercially exploit the Platform except as expressly allowed by us in writing.
20. Copyright and Trademark Complaints
If you believe content on the Platform infringes your copyright, you may send a notice to our designated agent at support@rolelantern.com with the information required by the Digital Millennium Copyright Act. We may remove or disable access to allegedly infringing content and may terminate repeat infringers in appropriate circumstances.
If you believe content on the Platform infringes your trademark or service mark rights, you may send a notice to support@rolelantern.com identifying: the mark at issue and evidence of your rights (such as a registration number or a description of common-law use); the specific content or listing you believe is infringing and its location on the Platform; your contact information; and a statement, made in good faith, that the use is not authorized by you, your agent, or the law. We may remove, disable, relabel, or restrict allegedly infringing content and may take action against repeat infringers. We may forward complaints to the party that posted the content and may share your notice with them.
21. Privacy and Data Protection
Our collection, use, disclosure, retention, and protection of personal information is described in our Privacy Notice. By using the Platform, you agree that we may process information as described in the Privacy Notice and as otherwise permitted by law.
Employers and posting entities are independent controllers or businesses with respect to applicant data they receive, unless a separate written agreement states otherwise. Employers must maintain their own lawful privacy notices, security measures, retention rules, applicant rights processes, vendor contracts, and data protection practices.
22. Security
We use reasonable administrative, technical, and organizational safeguards designed to protect the Platform. No system is fully secure. You are responsible for using strong credentials, limiting access, monitoring account activity, and promptly notifying us of suspected unauthorized access or misuse.
23. No Professional, Legal, Immigration, Medical, or Career Advice
The Platform may contain articles, templates, job descriptions, salary information, career content, AI-generated content, compliance reminders, or other information. Such information is provided for general informational purposes only and is not legal, tax, immigration, medical, clinical, professional, employment, or career advice. You should consult qualified professionals before relying on such information.
24. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL CONTENT, JOB POSTS, RESUMES, PROFILES, APPLICATIONS, MESSAGES, MATCHES, ALERTS, DATA, SEARCH RESULTS, RECOMMENDATIONS, THIRD-PARTY LINKS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.
WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, ERROR-FREE OPERATION, VIRUS-FREE OPERATION, COURSE OF DEALING, AND COURSE OF PERFORMANCE.
WE DO NOT WARRANT THAT ANY JOB IS REAL, CURRENT, AVAILABLE, SAFE, LAWFUL, ACCURATE, NON-DISCRIMINATORY, OR SUITABLE; THAT ANY EMPLOYER OR CANDIDATE IS WHO THEY CLAIM TO BE; THAT ANY COMMUNICATION WILL BE DELIVERED OR ANSWERED; THAT ANY APPLICATION WILL BE REVIEWED; OR THAT USE OF THE PLATFORM WILL RESULT IN INTERVIEWS, OFFERS, HIRES, COMPENSATION, OR EMPLOYMENT.
25. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RoleLantern, ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOST GOODWILL; LOST DATA; BUSINESS INTERRUPTION; EMPLOYMENT LOSS; FAILURE TO HIRE; FAILURE TO OBTAIN WORK; REPUTATIONAL HARM; OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO RoleLantern FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) $100.
26. User Disputes and Release
We are not responsible for disputes between users, including disputes between job seekers and employers, recruiters, staffing firms, agencies, applicant tracking systems, vendors, or other third parties. You are solely responsible for your interactions with other users.
To the fullest extent permitted by law, you release RoleLantern from claims, demands, damages, losses, liabilities, and expenses arising out of or related to your interactions with other users, job posts, applications, interviews, offers, background checks, credentialing, employment decisions, third-party services, or disputes with employers or candidates.
27. Indemnification
You agree to defend, indemnify, and hold harmless RoleLantern, its affiliates, and their officers, directors, employees, contractors, agents, licensors, service providers, and partners from and against any claims, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
Your User Content, job posts, resumes, applications, messages, landing pages, hiring process, candidate communications, or employment decisions;
Your use or misuse of the Platform;
Your violation of these Terms, the Job Posting Rules, the Privacy Notice, an order form, or applicable law;
Your violation of any third-party right, including intellectual property, privacy, publicity, confidentiality, contract, or employment rights;
Your failure to comply with pay transparency, EEO, anti-discrimination, immigration, background check, AI hiring, privacy, data security, life sciences, healthcare, clinical, credentialing, or professional licensing laws;
Any dispute between you and another user or third party.
We may control the defense of any matter subject to indemnification. You must cooperate with us and may not settle any claim in a manner that imposes obligations on us without our written consent.
28. Termination and Suspension
We may suspend, restrict, or terminate your access to the Platform, remove content, stop displaying jobs, disable accounts, or refuse service at any time if we believe your use creates risk, violates these Terms, violates law, harms users, harms the Platform, creates security risk, or may expose us or others to liability.
You may stop using the Platform at any time. Certain provisions, including intellectual property, User Content license, disclaimers, limitation of liability, indemnity, dispute resolution, payment obligations, and privacy-related provisions, will survive termination.
29. Governing Law, Arbitration, Class Waiver, and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs any arbitration agreement to the fullest extent permitted by law. Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
30. International Use
The Platform may be accessible from countries outside the United States, and some jobs may relate to work outside the United States. We do not represent that the Platform, job posts, content, or services are appropriate, available, lawful, or compliant in every country or jurisdiction. Users who access the Platform from outside the United States do so at their own risk and are responsible for compliance with local law.
Employers and posting entities are solely responsible for compliance with the laws of the country, state, province, city, or locality where the job is advertised, viewed, applied for, performed, managed, paid, or filled, including labor, employment, immigration, tax, data protection, language, pay, benefits, agency, recruiting, and worker classification laws.
31. Changes to Terms
We may update these Terms from time to time. Updated Terms will be posted on the Platform or otherwise made available. The “Effective Date” will show when they were last updated. Your continued use of the Platform after updated Terms become effective means you accept the updated Terms.
